Free Zone Company Formation in the UAE
The UAE has more than forty free zones, each with its own licence types, costs, office requirements, visa quotas and regulator. Choosing between them on price alone is a common and expensive mistake: the cheapest package often cannot support the activity, the substance a bank expects, or the conditions a business must meet to keep the free zone corporate tax rate. Since corporate tax arrived, the free zone decision is a tax decision first.
Reflechir selects and sets up free zone companies with the Qualifying Free Zone Person analysis done up front: which income will qualify, what substance is needed, how mainland dealings will be treated and whether the 0% rate is realistic for the business at all. Where it is not, we say so and structure accordingly.
When a free zone is the right choice
- International and regional trading: businesses selling to customers outside the UAE or to other free zone entities, where the qualifying-income conditions can be met.
- Holding, IP and headquarter functions: group structures where a free zone entity holds shares, intellectual property or provides services to group companies, subject to substance.
- Founders and remote businesses: consultancies, technology and e-commerce businesses that need a UAE base, residence visas and a bank account without a large physical footprint.
- Regulated activities: financial services, media, healthcare or education businesses that belong in a sector-specific zone with the right regulator.
- Logistics and manufacturing: zones with customs-bonded status, warehousing and industrial land.
What the service covers
- Zone selection: a short comparison of the zones that fit the activity, with licence costs, office requirements, visa allocation, regulator, reputation with banks and corporate tax position side by side.
- Qualifying Free Zone Person assessment: whether the planned income is qualifying, what excluded activities and the de minimis threshold mean for the business, the substance required and the audited financial statements obligation.
- Formation and licensing: application, memorandum, shareholder documents, office or flexi-desk lease, licence issue and establishment card.
- Visas and residence: investor and employee visas within the zone's quota, Emirates ID and medicals.
- Tax registrations and accounting: corporate tax registration, VAT registration where required, accounting system set-up and the qualifying and non-qualifying income tracking the tax return will need.
- Renewals and changes: annual licence renewal, activity changes, share transfers and upgrades or moves between zones as the business grows.
How the engagement works
Reflechir starts with a structuring call and a written zone recommendation with costs and the tax analysis. Formation follows on a fixed professional fee, with zone fees itemised. Most free zone companies are licensed within one to three weeks of document collection. Accounting, audit coordination where audited statements are required, and the annual corporate tax and VAT filings continue with the same team.
Why Reflechir
- Tax analysis before the zone is chosen: the 0% rate is assessed, not assumed.
- Zone-independent: we are not tied to any free zone and recommend on fit.
- Built for the audit and the return: qualifying-income tracking and audited-statement requirements are set up from the first month.
If you are choosing a free zone, or already have one and are unsure whether the 0% rate applies, contact Reflechir Consultancy for a structuring call.
