Business Valuation Services in the UAE
A business is worth what a willing buyer will pay a willing seller, and the job of a valuation is to reach that number with evidence before either side is in the room. Whether you are selling, bringing in an investor, buying out a partner, resolving a dispute or reporting a fair value in the financial statements, the valuation has to be independent, methodologically sound and explained in a way the other party’s advisors cannot easily dismiss.
Reflechir prepares business and share valuations for UAE companies across trading, services, contracting, healthcare, F&B, technology and holding structures, using the approaches appropriate to the business and the purpose, and documenting every assumption.
When a valuation is needed
- Sale or investment: setting an asking price, responding to an offer, or agreeing the entry price for a new investor or partner.
- Shareholder changes: buy-outs, exits, transfers between family members, and shareholder agreements with pre-agreed valuation formulas.
- Disputes and litigation: partner disputes, divorce settlements, and expert reports for courts and arbitration in the UAE.
- Financial reporting: purchase price allocation after an acquisition, impairment testing of goodwill and investments, and fair value of shareholdings under IFRS.
- Tax and restructuring: transfers of shares or businesses between group entities at arm's length for corporate tax and transfer pricing purposes, and valuations supporting business restructuring relief.
- Bank, visa and regulatory purposes: valuations requested by lenders, immigration authorities and free zone regulators.
What the service covers
- Purpose and standard of value: confirming what the valuation is for, the basis of value that applies, and the date at which it is struck.
- Financial normalisation: adjusting historical accounts for owner remuneration, related-party transactions, one-off items and non-operating assets so the earnings base reflects the business as a buyer would see it.
- Valuation approaches: discounted cash flow, capitalised earnings, market multiples from comparable transactions and listed companies, and asset-based approaches, applied and cross-checked as appropriate.
- Discounts and premiums: control, marketability and minority considerations for the specific shareholding being valued.
- Valuation report: a written report setting out the business, the approach, the assumptions, the calculations and the conclusion, in a form suitable for negotiation, court, auditor or regulator.
- Negotiation support: explaining and defending the valuation to the counterparty and their advisors, and updating it as terms change.
How the engagement works
Reflechir agrees the purpose, scope and deadline, collects three to five years of financial statements, management accounts, forecasts and the relevant agreements, and interviews management. A draft report is discussed with you before it is finalised. Fees are fixed and depend on the complexity of the business and the purpose; a valuation for a shareholder buy-out is a smaller exercise than an expert report for arbitration. Typical turnaround is two to four weeks from receipt of information.
Why Reflechir
- Defensible by design: every input is sourced and every judgement explained, so the report survives challenge.
- Accounts we can read properly: normalisation is done by accountants who prepare UAE financial statements and know where the adjustments hide.
- Tax-aware: the corporate tax and transfer pricing consequences of the transaction are flagged alongside the number.
