Ultimate Beneficial Owner (UBO) Advisory in the UAE
Every company licensed in the UAE, mainland or free zone, must identify the natural persons who ultimately own or control it, keep a register of those beneficial owners together with registers of shareholders and nominee directors, and file the information with its licensing authority. The information must be kept current, updated when ownership or control changes, and made available to regulators and, on request, to banks and other institutions conducting their own due diligence.
Reflechir identifies the beneficial owners under the applicable tests, prepares the registers and filings for each authority, and keeps them accurate as the business changes, so that licence renewals, bank reviews and regulatory inspections are not held up by ownership questions.
Why beneficial ownership needs attention
- Multi-layered structures: where the shareholder is another company, a trust, a foundation or a fund, the beneficial owner has to be traced through each layer using ownership and control tests, and the result documented.
- Nominee arrangements: nominee shareholders and directors must be identified as such, with the person on whose behalf they act recorded in the register.
- Changes are missed: share transfers, new investors, changes of manager and changes in control through agreements all require the register and the filing to be updated within the timeframe the authority sets. Most breaches arise from stale filings rather than missing ones.
- Penalties and licence consequences: licensing authorities impose administrative penalties for missing, late or inaccurate filings and can suspend or refuse licence renewals until the position is corrected.
- Banks and counterparties rely on it: account opening, periodic bank reviews and corporate transactions all require a beneficial ownership declaration that matches what is filed with the authority.
What the service covers
- Beneficial owner identification: analysis of the ownership and control chain for each entity, applying the relevant tests and documenting the reasoning where control is exercised through means other than shareholding.
- Register preparation: the register of beneficial owners, register of shareholders and register of nominee directors in the format required, with supporting identification documents collected and verified.
- Filing with the licensing authority: initial submissions and updates through the relevant mainland or free zone authority's portal or forms, and confirmation of acceptance.
- Group-wide consistency: for groups with several UAE entities, one ownership analysis applied consistently across every licence so the filings agree with each other.
- Ongoing maintenance: a change-notification process with your company secretary or PRO so that share transfers and management changes are reflected in the registers and filed on time.
- Regulator and bank requests: preparing the beneficial ownership declarations and evidence packs that banks, auditors and authorities request, aligned to what has been filed.
How the engagement works
The initial identification and filing is a fixed-fee project per entity, reduced for groups. Reflechir collects the constitutional documents and shareholder information, completes the analysis, prepares the registers, files with the authority and delivers a compliance file you can hand to a bank or regulator. Ongoing maintenance is offered as an annual retainer that includes updates on change and a yearly confirmation that the filings remain accurate.
Why Reflechir
- Compliance is our own discipline: as a regulated firm with its own beneficial ownership and AML obligations, we apply the tests the way regulators expect them to be applied.
- All authorities covered: mainland economic departments and the free zone authorities each have their own forms and portals; we work with all of them.
- Joined up with the rest of your compliance: beneficial ownership feeds the corporate tax return, the transfer pricing file and the bank's KYC file, and we keep them consistent.
If your beneficial ownership filings are out of date, or a bank or authority has questioned them, contact Reflechir Consultancy to bring them into order.
