Corporate Finance Advisory in the UAE
Growth needs capital, and capital in the UAE comes with conditions: banks want audited accounts, forecasts and security; investors want a credible plan, a defensible valuation and a clean structure; and every financing decision has a tax and cash flow consequence that outlasts the deal. Corporate finance advisory is about getting the right money on the right terms, and making sure the business can carry it.
Reflechir advises owner-managed and mid-sized UAE businesses on how to fund their plans, prepares the materials that banks and investors require, and negotiates alongside management to completion.
What we advise on
- Bank financing: working capital facilities, term loans, trade finance and asset finance, from selecting the right product and lender to preparing the application pack and negotiating terms and covenants.
- Equity fundraising: preparing the business for investment, building the investment case and financial model, valuing the business, and managing the process with angel investors, family offices, venture capital and private equity.
- Capital structure review: the right balance of debt and equity for the business's cash flows, growth plans and risk appetite, and the tax effect of interest under the UAE corporate tax rules.
- Restructuring and refinancing: renegotiating facilities, consolidating debt, addressing covenant breaches and preparing turnaround plans that lenders will support.
- Shareholder and partner financing: structuring loans and capital contributions from owners so they are documented, tax-efficient and repayable.
- Financial modelling: integrated three-statement models with scenario analysis, used for every option above and kept as a management tool afterwards.
What you receive
- Funding strategy: a written assessment of how much is needed, the options available, their cost and conditions, and a recommended route.
- Bank or investor pack: business plan, financial model, information memorandum or pitch deck, and the supporting schedules each lender or investor asks for.
- Term sheet analysis: plain-language comparison of offers, with the covenants, security, pricing and dilution set out and negotiated.
- Completion support: conditions precedent, documentation review with your lawyers, and the accounting and tax treatment of the financing once drawn.
How the engagement works
Reflechir starts with a review of the business’s financial position and its plans, sets out the funding options in a short strategy paper, and then prepares the materials and runs the process for the option chosen. Fees are fixed for the strategy and documentation stages, with a success element on completion where appropriate. Where Reflechir already keeps the accounts or acts as outsourced CFO, the process is faster because the financial information is current and reconciled.
Why Reflechir
- Lender and investor perspective: we prepare the pack the way the credit committee or investment committee will read it.
- Numbers you can stand behind: forecasts are built from accounts we prepare, and reconcile to the audited statements.
- Tax consequences priced in: interest deductibility limits, withholding considerations on foreign lenders and the corporate tax effect of the structure are modelled, not assumed.
If your business needs funding, or the funding it has is no longer fit for purpose, contact Reflechir Consultancy to review the options.
